Fundraising Criteria

For Direct client

Please make sure you meet these criteria before applying.

• For Equity/Joint Venture:
  • • Minimum $10M needed between now and 3 to 5 years (usually the time needed to exit, e.g., takeover or IPO)
    • Not being in the pre-seed phase (exception if you already have sales commitments or LOIs)
    • You need to have “skin in the game”, meaning that between 10% to 30% of the ask should be available on your bank account, or you already have invested or are going to invest in your company with your own funds.
    • Proof of funds need to be submitted
• For Hybrid solutions:
  • • Minimum $5M needed between now and 3 to 5 years
    • Your company needs to already have a minimum of 6 months of actual revenue of $20k, and preferably $3000k in ARR (last year or current year projection)
• For Loans:
  • • You need to have “skin in the game”, meaning that between 1% to 10% of the ask is available on your bank account, or an LTV of 80% or lower. Proof of funds needs to be submitted!
    • The company expects to realize revenue in a maximum of 6 months after funding.
• General:
  • • Proper presentation of the project and financials for a minimum of 5 years
    • The pitch needs to be put in our standard format (executive summary) and the financials.
    • In case you do not have revenue yet, sales commitments such as off-take agreements, LOI, purchase requisitions or even purchase orders should be in place now or in the near future (during the fundraising process)

For Associate

 Extra criteria for projects coming from associates:

• Must have direct contact with business owners/prospective clients.
• To obtain signed NDA directly from the prospective clients.
• To have clarity of the commission in advance (the total percentage)
• To provide details on each deal, especially of the following:
  • Exclusively, is it an off-market deal, and how many other intermediaries have already been involved/approached?
  • A history of the current fund-raising process to avoid overlapping of lenders/funders.
• Retainer fee will be applicable to deals that are complex (due to their size) and longer duration.
• Profit sharing agreement (if needed).
