The following terms are used in the terms and conditions:

Client: The individual or company that enters the contract agreements for fundraising packages.

Service provider: SBFO or any outside affiliates that SBFO uses in order to provide services defined in the contract.

Contract: A signed, written agreement, concerning the commission received by SBFO, disputes, and clauses that are intended to be enforceable by law.

Service: SBFO fundraising packages

Agreement: A negotiated and legally binding arrangement between client and service provider as to a course of action.

Stakeholders: Investors and lenders that affiliate with SBFO in providing the funding to clients.

Competitor analysis dashboard: A list of lenders and investors with negotiated terms and requirements.

Skin in the game: Executives/founders/ principals/ owners – with shareholding in the company; have the ability to provide their own cash to pay the cost of the loan (of which some refer to surety bond or insurance fee or deposit required by the lenders).

The terms and conditions are as follows:

• The client agrees to enter an agreement using our Private Capital Facilitation Services (PCFS).
• Upon the receipt and signing of SBFO’s contract, the client is henceforth agreeing to submit a detailed business plan and financial projections. These two documents are mandatory, failure to do so will result in the breach and subsequent termination of the contract.
• The first screening involves defining and determining the project’s eligibility based on the investors’ and lenders’ criteria.
• Once the project is determined to be eligible, a meeting for an interview with the client is set up.
• Before proceeding with investors/lenders, the client must fulfil a Consulting Fee Agreement and NCND Agreement with a sliding scale of a non-negotiable 5% for the first $10MM and a 3% above $ The chosen package of Private Capital Facilitation Services (PCFS) will be invoiced.
• Upon receipt and verification of payment, SBFO has the right to proceed with the offered services of extensive due diligence and feasibility studies of the client’s project/business.
• The client must fill out and send the standardized executive summary and financial templates entailing the project, industry, and financials to SBFO for review.
• A one-to-one matching of client and investors/lenders will be done in a thorough assessment to ensure suitability and a higher probability of approval.
• The client can access the project status from SBFO’s shared bi-weekly updated data room.
• SBFO will deliver a competitor analysis dashboard based on top executive evaluation of the provided project data.
• SBFO assures a money-back guarantee in the event of no feedback from the funders. To be eligible for funding facilitation, the client must comply with the funders’ T&C, criteria, and provide all requested documents (case by case basis) by the funders.
• The client should have or make advance preparation of the necessary “skin in the game”to proceed with loans. Matching must be done according to the client’s capability and preference against the competitor analysis dashboard.
• By filling out our onboarding form, the client henceforth has agreed with our terms and conditions.
